Background for the Rutgers Takeover Conference Speech

Date and Setting:

(5-23-88) 4:15 p.m. to 5:15 p.m.; 35 minute speech, 25 minute Q&A session. David Kay of Drexel is scheduled to introduce TBP, but there may be a problem; David will be in deposition that morning and, although he should be through in plenty of time, these kinds of things are unpredictable. Jim Bickler, the conference organizer, says he will be prepared to give the introduction if need be. The Q&A session will be handled with 3X5 cards from the audience.

Audience

Jim Bicker says he expects about 100 area business executives, lawyers and representatives from financial institutions, with maybe a few students and educators. Invitations have been sent out to hundreds of local and national media representatives, but their attendance is questionable.

Important Points:

—The two-day conference looks superb, with speakers such as Asher Edelman, Roland Machold of the Council of Institutional Investors, Stuart Shapiro of Skadden Arps, Bruce Wasserstein, Joseph Grundfest, Irwin Jacobs (who will debate Dr . Louis Lowenstein), Paul Tierney of Coniston Partners, and many more.

They will cover specific topics such as public policy and corporate governance, poison pills, state anti-takeover statutes and corporate restructuring. Because all of these topics are covered in depth, TBP's speech will deal with the overall view of restructuring.

WARNING:

Although the program looks perfect and Jim Bicksler seems to have everything under control, the size of the audience is worrisome. With all the superstars that are scheduled for this conference, you would think it would attract more attention. Also, Jim said he expects anywhere from 30 to 100 press to show; yet he predicts the audience to be around 100. Mary and Stewart are making calls and trying to head off any potential problems.
